AANZ Expert Session | Updated Equity Templates with Murray Whyte

Background

In November 2025 AANZ released a significant update to New Zealand’s industry-standard equity investment template documents (see here).

The update was a result of several months of mahi from a working group involving several law firms and other stakeholders active in New Zealand’s early-stage investment ecosystem.

This was the first major update to the templates since 2019, aiming to:

• align the documents with the equity investment term sheet (last updated in 2023)
• respond to evolving market practice and learnings
• address intervening law changes
• increase the speed and reduce the cost associated with preparing equity investment documents, particularly for follow-on investment rounds

In this session, Murray Whyte of Avid.legal guides us through the main changes, helping us understand why certain changes have been made, and providing some practical tips for using the updated templates to document equity investment financing rounds.
